    Mining, metals and innovation company Tharisa PLC has announced a structured series of board succession and executive leadership changes effective 1 October 2026. The transition marks the departure of founder Loucas Pouroulis as Executive Chairman and aligns the group with key international and regional governance frameworks.

    Mining, metals and innovation company Tharisa PLC has announced a structured series of board succession and executive leadership changes effective from 1 October 2026. The changes conclude a structured succession process, establish independent leadership of the board, and bolster the executive team for the group's next phase of growth. Founder Loucas Pouroulis will step down from the board on 30 September 2026 and be conferred the title of Founding Chairman Emeritus, remaining available as an adviser. Carol Bell, currently Lead Independent Director, will be appointed Independent Non-executive Chairman of the board, while David Salter will take on the role of Deputy Chairman.

    The leadership transition follows a distinguished career spanning more than six decades in Southern African mining by Loucas Pouroulis, whose contributions to the chrome sector were recognized with the Lifetime Award at the 2019 South African Chrome Industry Dinner and Awards Ceremony. Under his leadership, Tharisa developed from a greenfield project into a large-scale, integrated producer of platinum group metal and chrome concentrates, culminating in its listings on the Johannesburg Stock Exchange in 2014 and the London Stock Exchange in 2016. Carol Bell joined the board as an independent non-executive director in March 2016, bringing deep institutional knowledge to her new role as Chairman after a nomination process overseen by the board.

    At the executive level, current Chief Operating Officer Michelle Taylor will be appointed Chief Corporate and Commercial Officer, taking charge of marketing, sales, offtake, logistics, and downstream beneficiation. Roy Murley, currently Executive for Operations at Tharisa Minerals, will step into the role of Chief Operations Officer, assuming responsibility for safety, mining, processing, and operational delivery across South African and Zimbabwean assets. Both executives will report directly to Chief Executive Officer Phoevos Pouroulis. These operational changes directly support the group's upcoming strategic milestones, including the transition of the Tharisa Mine to underground mining and the development of the Karo Platinum Project.

    The structural realignment serves a dual purpose by strengthening operational accountability while aligning Tharisa's governance arrangements with multiple regulatory regimes. The adjustments satisfy the UK Corporate Governance Code, the King IV Code on Corporate Governance for South Africa, the JSE Listings Requirements, and the governance standards applicable to companies in the Equity Shares Commercial Companies category of the London Stock Exchange. By clearly separating the founder from executive chairmanship and elevating independent oversight, the company reinforces its institutional maturity as it manages multi-jurisdictional assets.
