Arese Ugwu Steps Into Acting Managing Director Role at NASD Following Regulatory Clearance
The board of NASD PLC has appointed Arese Ugwu as Acting Managing Director, subject to Securities and Exchange Commission approval. This leadership transition follows her completion of a five-year regulatory suspension tied to past capital market conduct rules.
The board of directors of NASD PLC has appointed Ms. Arese Ugwu as Acting Managing Director of the over-the-counter market and self-regulatory organisation. This leadership appointment is subject to the formal approval of the Securities and Exchange Commission. Ms. Ugwu steps into the role succeeding the immediate past Managing Director, Eguarekhide Longe, who recently retired following years of service to the organisation. Her appointment brings a notable public figure back to the formal trading ecosystem, given her background as the founder of Smart Money Africa and author of The Smart Money Woman.
The appointment arrives after Ms. Ugwu completed a five-year regulatory suspension originally handed down by the Securities and Exchange Commission in 2017. That suspension followed breaches of capital market conduct rules during her tenure as a director of Partnership Investment Company, which included an order to pay a penalty of N100,000 for breaching Rule 1 of the Code of Conduct for Capital Market Operators and their Employees. The apex regulator had barred her from holding directorship positions in any public company in Nigeria for the specified five-year duration, alongside the managing director of Partnership Securities Limited, Victor Ogiemwonyi.
Addressing her new operational scope, Ms. Ugwu outlined an explicit mandate to transform the market to support growing enterprises. She stated her vision is to make NASD the primary venue where Nigeria's growth businesses can successfully find the capital they need to scale operations. Furthermore, she emphasized opening avenues where broader investor participation can capture the value generated by these expanding commercial entities. As NASD navigates this leadership transition, market participants await further clarification from the organisation regarding the operational integration of the new executive direction under ongoing regulatory oversight.
Why This Matters
Leadership changes at self-regulatory organisations carry profound implications for market confidence and regulatory adherence within national financial systems. When individuals with historical regulatory sanctions return to executive capacities, scrutiny regarding corporate governance standards and supervisory oversight naturally intensifies among institutional investors and policy makers. The intersection of past enforcement actions by the apex regulator and current board appointments highlights the intricate balance required to maintain regulatory integrity while accommodating leadership evolution in over-the-counter markets.
Furthermore, positioning an over-the-counter exchange as a vital engine for growth businesses requires robust institutional trust and transparent operational frameworks. Market operators, issuers, and investors closely monitor how leadership visions translate into enforceable compliance and accessible capital formation. Maintaining clear communication channels with the Securities and Exchange Commission remains essential to validate structural shifts and ensure that institutional strategies align with broader national economic development goals for domestic enterprises.
