eTranzact International Plc has announced a comprehensive restructuring of its Board of Directors following the completion of a major shareholding transaction on the Nigerian Exchange Limited. The corporate transition follows a change in the majority ownership structure of the company, marking a significant milestone in the evolution of the prominent financial technology firm. Market participants and investors were formally notified of the transaction through official disclosures detailing the movement of shares among prominent institutional entities.
The ownership transition involved the transfer of an aggregate of 5,168,921,170 ordinary shares, representing 56.18 percent of the company issued ordinary shares. Access Bank Plc, Meristem Trustees Limited acting as trustee for Accelerex Holdings, and eTranzact Global Limited transferred these holdings to Trademarks Global Concepts Limited. Following the completion of this transaction, the governance structure of the company underwent immediate changes to align with the new majority ownership framework established by the incoming principal shareholder.
In response to the ownership transition, several directors representing the exiting shareholders resigned from the Board alongside two Independent Non-Executive Directors. The departing members include Chuma Ajene, Benjamin Dabra, Afolabi Oladele, Binta Max-Gbinije, and Maj Gen Emeka Onwuamaegbu. The company formally expressed its appreciation to these outgoing directors for their dedicated service, contributions, and commitment to the growth and development of the organization throughout their respective tenures on the board.
To fill the vacancies, the company appointed new directors including nominees of Trademarks Global Concepts Limited alongside two new Independent Non-Executive Directors. The newly appointed board members are Akinwunmi Akinfemiwa, Olatunde Akande, Doron Grupper, Omobola Hollist, and Mustapha Ajenifuja, SAN. These appointees bring substantial experience spanning corporate leadership, banking, development finance, governance, legal advisory, infrastructure, energy, investment management, and business transformation to guide the company through its next phase.
Why This Matters
Changes in majority ownership and board composition at systemically important financial technology institutions carry profound implications for market stability and regulatory compliance within the digital payments ecosystem. When a controlling stake changes hands through large volume share transfers, the incoming ownership must secure formal clearances from apex financial regulators. In this instance, the company successfully obtained the approval of the Central Bank of Nigeria for the new board appointments while updating its corporate records with the Corporate Affairs Commission in accordance with applicable regulatory frameworks.
Corporate governance structures must adapt swiftly during major ownership transitions to maintain investor confidence and operational continuity. The introduction of fresh leadership expertise across diverse sectors such as energy, infrastructure, and development finance positions the firm to recalibrate its strategic priorities. This level of board restructuring ensures that the institution retains rigorous oversight while navigating the competitive pressures of the digital financial services landscape in Nigeria.
